Cloud Service: Pomerado (pomerado.ai) is a cloud platform that turns any website into an API or MCP in minutes so that AI agents can use sites that have no API, including legacy portals and internal tools. Changes to the Standard Terms
Pomerado Automated Access and Third-Party Integrations Addendum
1. Scope and priority
This Addendum supplements the Pomerado Terms of Service and applies to integrations, APIs, MCP tools, hosted browsers, and automated agents provided through the Product. “Third-Party Services” means websites, portals, applications, and systems operated by others.
This Addendum controls where it conflicts with the Terms concerning these activities. An applicable Data Processing Agreement or Business Associate Agreement controls concerning its subject matter.
2. Authorized access and acceptable use
Customer may use the Product only for activities Customer is legally entitled to perform. Customer must obtain and maintain the rights, permissions, and lawful basis necessary to access Third-Party Services and collect, use, or disclose the relevant information.
Possession of login credentials does not, by itself, establish permission for every automated activity.
Customer must not use or instruct the Product to access accounts or information without authorization, unlawfully circumvent access controls, infringe third-party rights, violate binding third-party terms, disrupt services, or carry out fraudulent or unlawful activities. Customer must promptly discontinue affected activities when its authorization expires or is revoked.
3. Agent instructions and external actions
Customer is responsible for instructions, permissions, and credentials that Customer or its authorized users provide, including through connected agents. Customer must define the permitted scope of automated activity and review that scope before enabling actions that create financial, legal, or other material consequences.
Automated actions may submit information, change records, make purchases, or create commitments within the authorized scope. Cancelling a job or disconnecting an integration may not reverse actions already completed.
These responsibilities do not excuse Pomerado’s failure to comply with its own obligations or actions attributable to Pomerado outside the authorized scope.
4. Credentials and sensitive information
Customer must submit credentials and authentication secrets only through the designated credential or authentication features. Customer must protect its Pomerado account and promptly report suspected unauthorized access.
Customer must not submit regulated information requiring additional contractual or security arrangements, including HIPAA-regulated protected health information, unless Pomerado has expressly agreed to support that use and the required agreements and safeguards are in place. Pomerado will handle personal information under applicable law, its Privacy Policy, and any applicable data processing agreement.
5. Changes to Third-Party Services
Third-Party Services may change their interfaces, authentication requirements, permissions, rate limits, availability, or access policies. These changes may interrupt integrations or affect their results.
Pomerado will use commercially reasonable efforts to diagnose and address affected integrations. Pomerado does not guarantee continued compatibility with every Third-Party Service or restoration within a particular period unless expressly agreed in a service-level agreement.
Pomerado may require renewed authentication, revised instructions, or changes to an integration. If continued operation is unlawful or technically impracticable, Pomerado may discontinue the affected integration and notify Customer. Applicable contractual and statutory rights to remedies, refunds, or termination remain available.
6. Security and data incidents
Pomerado will maintain reasonable technical and organizational safeguards appropriate to the information it processes. If Pomerado becomes aware of unauthorized access, disclosure, loss, destruction, or alteration affecting Customer information within the Product or its subprocessors, it will investigate, take reasonable containment and remediation measures, and notify affected Customers without undue delay and within any applicable legal or contractual deadline.
Notification may be provided in stages as information becomes available. The parties will reasonably cooperate in investigating and responding to the incident. Each party remains responsible for notifications and other duties imposed on it by applicable law.
An incident originating in a Third-Party Service does not automatically make Pomerado responsible for that service’s conduct. This does not exclude responsibility for Pomerado’s own contribution to an incident.
7. Protective suspension
Pomerado may temporarily restrict an affected integration or account where reasonably necessary to address suspected unauthorized activity, a security threat, unlawful use, or material harm. Restrictions will be proportionate to the concern. Pomerado will provide notice where reasonably practicable and restore access when the grounds for restriction have been resolved.
8. Liability and consumer rights
Responsibility for losses arising from automated actions, integration failures, and security incidents will be determined under the Terms, this Addendum, and applicable law. The liability caps, exclusions, and expressly agreed indemnities in the Terms apply to the extent legally permitted. This Addendum creates no additional provider indemnity.
Customer is not responsible merely because an incident involved Customer’s account or credentials. Responsibility depends on the parties’ respective conduct and obligations.
Nothing in this Addendum excludes or restricts mandatory consumer rights, data protection rights, or liability that cannot lawfully be excluded or restricted.
